The Cyprus Securities and Exchange Commission (CySEC) has assessed Exelcius Prime Ltd. a €740,000 punishment, one of the largest fines ever imposed on a retail Forex (FX) and Contracts for Difference (CFD) broker. This action emphasizes CySEC's strict enforcement of financial rules to safeguard investors and maintain market integrity.

Exelcius Prime's CySEC license was suspended in 2022 after it operated under the moniker 1Market via the websites 1market.eu and 1market.hu. The suspension came as a result of many regulatory infractions, highlighting major compliance issues. Exelcius Prime's sanction is significant for being the second-largest penalty assessed by CySEC on a CFDs broker. The greatest punishment ever recorded was €1 million, issued on Itrade Global (CY) Ltd, the operator of Tradewell, in early 2023. CySEC often fines CIF-licensed firms €2 to €3 million per year.

Dr. George Theocharides, Chairman of CySEC, underlined the significance of regulatory compliance. “CIFs must fully comply with the provisions of the Law and operate within the framework of their licenses,” added the minister. Dr. Theocharides went on to explain that CySEC puts a high value on the skills and competence of persons in important positions within CIFs to guarantee effective governance and investor safety. He emphasized that CIFs must operate properly, honestly, and professionally in order to boost investor trust in the market. CySEC is committed to promoting responsible development in the investment industry via rigorous oversight.

Exelcius Prime's penalties encompass various violations of financial rules. Here's a breakdown of the infractions and fines:

  1. Investment Advice Violation: Exelcius Prime was fined €45,000 for breaching section 5(1) of the law. The firm was found to have given investment advising as a regular activity without disclosing this in its CySEC license.
  2. Board Compliance Issues: A €60,000 fine was levied for failing to comply with the criteria established in Section 22(1) of the Law. Specifically, the corporation failed to follow Section 9 of the Law, which requires board members to devote adequate time and exhibit a wide variety of expertise. Furthermore, the company was not run by at least two people, as needed.
  3. Organizational Requirements: Exelcius Prime was fined €240,000 for repeated noncompliance with section 17 of the law. This section discusses organizational requirements, such as the necessity for appropriate rules and processes, as well as the monitoring of financial instruments to ensure that they meet the demands of customers. The organization failed to set suitable procedures, supervise customer services, and keep enough records.
  4. Conflict of Interest: The corporation was fined €120,000 for failing to take necessary procedures to detect and manage conflicts of interest between personnel and customers, as required by section 24(1) of the law.
  5. Professional Conduct: Exelcius Prime was fined €110,000 for failing to operate honestly, fairly, and professionally in its investment services, infringing section 25(1) of the Law. This includes deficiencies in customer communication and service delivery.
  6. Target Market Assessment: A €25,000 fine was levied for failing to evaluate end customers' target markets and ensuring that financial instruments were appropriate for their requirements, as required by section 25(2)(b) of the Law.
  7. Transparent Information: The corporation was fined €100,000 for failing to guarantee that the information supplied to customers was fair, transparent, and not misleading, violating Section 25(3)(a) of the Law.
  8. Investment Suitability: A €20,000 fine was imposed for failing to evaluate the suitability of investment services or products based on client information, as required by section 26(3)(b) of the Law.
  9. Branch Establishment: Exelcius Prime was fined €20,000 for establishing a branch in the Czech Republic without disclosing the required information to CySEC, violating section 36(2)(a) of the Law.

CySEC evaluated numerous aspects while deciding on the fine. These contain the highest administrative penalties allowed by law for such offenses and the severity of the breaches. The regulator highlighted that CIFs must follow their license structure, ensuring that board members are appropriately engaged and that company activities adhere to regulatory criteria.
